Terms of Use
Thank you for visiting the website of the Charles Stewart Mott Foundation (“Mott Foundation”), a Michigan nonprofit corporation with office at 503 S. Saginaw St., Suite 1200, Flint, Michigan 48502-1851. These Terms of Use (“TOU”) govern your use of www.mott.org (“Site”). You accept these TOU by interacting with the Site and/or by clicking through notices we post to the Site.
These TOU, which will be updated from time to time, includes the Privacy Policy located here, the copyright policy located here, and the Google “Privacy and Terms” located here.
These TOU are intentionally brief. Websites are no longer new or mysterious and visitors know what is expected of them — they are expected to comply with the law, not to harm the technology infrastructure of the website, and to conduct themselves in a manner that is ethical. If you have any question about what is expected from you while visiting the Site, please contact info@mott.org.
Each Visitor agrees:
- The Site may provide links to third party websites. Mott Foundation does not control those third party sites or their policies, including data collection and privacy policies. Those links do not necessarily indicate endorsement, affiliation, or sponsorship.
- They will use the Site for personal, noncommercial, and/or educational use in a manner consistent with the mission of Mott Foundation — namely, to promote a just, equitable and sustainable society.
- They shall not use automated technology to copy content, monitor activity or scrape data from the Site. The foregoing does not limit the right of persons to use technology to enhance/enable their ability to view, hear and lawfully download content made available by Mott Foundation at the Site.
- Access to the Site is a privilege. Mott Foundation may suspend or terminate access of a visitor to the Site in the exercise of its discretion.
Intellectual Property. Mott Foundation retains ownership of its intellectual property rights relating to content at the Site. Content protected by intellectual property includes software, data, photographs, illustrations, videos, text and other material posted to the Site. Because content may be subject to various legal rights (copyright, trademark, right of privacy, right of publicity, endorsement), please note that you are responsible for ensuring that you comply with applicable law if you use any content from the Site.
Mott Foundation does not grant any visitor to the Site the right to use any Mott Foundation trademark or logo for any purpose.
Mott Foundation makes no claim of copyright in public domain works or government works.
Accessibility. We are committed to having a Site that supports accessibility. We have incorporated into the Site a variety of shortcuts and text descriptions that make the Site easier to navigate with assistive technologies. We welcome your comments and suggestions about how to make the Site more accessible.
Legal Disclaimer. ACCESS TO AND USE OF THE SITE IS “AS IS AND WHERE IS.” ALL WARRANTIES ARE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES BASED ON CUSTOM AND PRACTICE.
Limitation of Liability for Damages. MOTT FOUNDATION SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR SPECIAL DAMAGES, OR LOST PROFITS RESULTING FROM ACTIVITY RELATING TO THE SITE. DIRECT DAMAGES SHALL BE LIMITED TO TEN DOLLARS (U.S. $10).
Limitations of Actions. Any claim relating to these TOU or the Site must be commenced within one (1) year after the claim or cause of action arises, otherwise such claim or action is permanently barred.
Force Majeure. Without limiting disclaimers and limitations of liability, and without creating any enforceable obligations other than as set forth in its privacy policy, Mott Foundation shall not be in breach of these TOU and shall not be liable to visitors in the event of nonperformance due to fire or other casualty, acts of God, earthquake, floods, explosions, interrupted power supply, sabotage, war, riots, acts of terrorism, inability to procure or a general shortage of labor, equipment, facilities, materials or supplies, pandemic, strikes, court orders, laws, regulations, or orders of government or military authorities, third party suppliers or collaborators, or any other cause not within the control of Mott Foundation.
Dispute Resolution. In the event of a dispute between a visitor and Mott Foundation, the parties shall use their best efforts to resolve any dispute through good faith business negotiations. Any disputes not so resolved shall be submitted to facilitative mediation online (by way of example, https://www.jamsadr.com/online?tab=overview). If the parties do not agree upon a mediation and mediation procedure within thirty (30) days of the initial request of a party for such online mediation, a party may commence litigation solely in the Circuit Court for the County of Genessee, Michigan, or the United States District Court for the Eastern District of Michigan. The parties stipulate to venue and personal jurisdiction in such courts and waive any application of the doctrine of forum non conveniens.
General Terms. These TOU, including all referenced policies and additional terms, is the entire understanding of the parties with respect to the subject matter and replaces all prior and contemporaneous written and oral communications, promises or understandings. These TOU may be amended only by the issuance by Mott Foundation of updated TOU. Visitor and Mott Foundation consent to electronic notices, electronic signatures and electronic documents. This Agreement shall be governed by the State of Michigan and the federal laws of the United States of America, as applicable.
